SONS IN RETIREMENT
MINUTES OF THE EXECUTIVE COMMITTEE
Meeting Date: March 29, 2010 Place: Pine Tree Restaurant
Big Sir Earl Nelson opened the meeting at 8:00 AM and called for self introductions. Secretary Dan Mohn reported that a quorum was present (see attached attendance report). The minutes of the March 01, 2010 Branch Executive Committee Meeting were approved as electronically transmitted to each Officer and Director. (Porter/Escallier).
TREASURER'S REPORT:
Treasurer Dennis Honeychurch reported a beginning balance of $6156.73 and an ending balance of $6279.94 for the month of March. The main expenses for the month were printing, supplies - $68.82; Guest Expenses - $10.00; and, Answering Service - $7.95. The Treasurer’s Report was approved (Vacca/Porter).
ATTENDANCE:
Attendance Chairman Bill Anning reported that 14 Sirs have called that they would not be attending the luncheon meeting. Assistant Attendance Chairman Harvey Uhl reported that 14 guests plus the speakers’ party of 8 will be attending. Chairman Anning further reported that Sir Bob Becker had attended fewer than half of the Luncheon Meetings during the past 12 months. Discussion ensued. It was noted that Sir Becker remains very active and responsive by email concerning his duties as RV Chairman while traveling. Big Sir Earl Nelson will contact Sir Becker regarding his attendance record.
MEMBERSHIP:
Membership Chairman Larry Bertuccelli requested approval to accept the applications for membership from: Jerry Kopyn, sponsored by Sir Larry Bertuccelli; Bob Edwards, sponsored by Sir Frank Meckler; Bill Parson, sponsored by Sir Duane Melott; and, Louis La Force, sponsored by Sir Gary Davidson. Approved (Porter/Robinson). Chairman Bertuccelli reported that Bruce Brown will be inducted at Thursday’s Luncheon and that Sir Bob Leslie’s transfer from Sonora Branch No. 136 will also be completed by introduction at the luncheon. With these actions the membership will stand at 150 active and 6 inactive.
STANDING COMMITTEE REPORTS:
LUNCHEON: Sir Jim McCracken reported that all is set for Thursday’s luncheon. Sir McCracken will request a setup for 135. The seating at Thursday’s luncheon will be a “mixer”.
PROGRAM: Big Sir Earl Nelson, in the absence of Little Sir Henry Beltran, reported that Thursday’s Luncheon Program will be presented by Michael Shaffer, Co-Chairman of the Mother Lode Round-Up Queen Pageant; 2009 Round-Up Queen Arial Diggan; and 2010 Queen Contestants Kendra Brennen, Sarah Grenfell and Kristen Barnhart.
COMPUTER USERS GROUP: Sir Dick Chimenti reported that he is working up a program for a later date, which will pair novice users each with a seasoned user. Sir Chimenti will try to obtain the use of the Tuolumne County School District’s computer lab for this program.
WEB PAGE: Sir Dick Chimenti reminded web page visitors to refresh their computers if they were not able to access the latest information on the page.
GOLF: Sir Richard Broddie, in absentia, requested approval for the following 2010 golf season:

BULLETIN: Sir Stu Heller requested that all items for the May bulletin be submitted to him by Monday, April 5th.
PUBLICITY: Sir Gil Wesson reported that the Sonora Union Democrat has published a notice of Thursday’s Luncheon Meeting. Sir Wesson talked with the U.D. about sending a reporter to the Thursday luncheon because of the community wide interest in the program about the Mother Lode Round-Up.
TRAVEL: Big Sir Earl Nelson, Travel Chairman, reported that the September 2010 trip to Eastern Canada is sold out and that the trip to the Oregon Rose Festival and The Ashland Shakespeare Festival is close to being filled.
RV: Sir Jim Nolan reported that the April trip to the Benbow Valley RV Resort near Garberville is all set to go.
THEATER: Sir Rich Brandau reported that 89 Sirs and guests/spouses had a great time seeing Guys and Dolls on March 17th, at the East Sonora Repertory Theater, and 59 enjoyed dinner following the play at Banny’s Mountain Springs.
HIKING GROUP: Sir Jerry Jensen requested approval, by email, for a hike on April 15th, to Table Mountain, carpooling from Gottschalk’s at the Junction leaving at 8:30 AM. Approved (Nelson/Mohn).
MOVIE: Sir Ray Pfoutz requested approval for a Movie at the Regal Cinema’s Stadium 10 Theater at a time and date to be determined, and either lunch before or dinner after the movie. Approved (Escallier/Robinson). Sir Pfoutz reported that 8 Sirs enjoyed the March movie.
FELLOWSHIP: Sir Bill Bamford reported that he sent get-well cards to four Sirs last month.
FISHING: Sir Herb Spierling reported that the March 23rd fishing trip to Lake Don Pedro was cancelled because the motor on the patio boat would not start; the May 13th to 16th trip to Bridgeport will be the next try.
PINOCHLE: Sir Jerry Morrow reported that he had organized a SIR Branch Pinochle Group of 12 Sirs and requested approval for playing the first Monday of every month at The Moose Lodge on Longeway Road, Sonora. Approved (Robinson/Escallier).
OLD BUSINESS:

NEW BUSINESS:
Officers and Directors Liability:
The State SIR Inc. Insurance Committee notified all Branches that Branch Officers and Directors are specifically not covered by SIR Inc.’s unintentional negligent act errors and omissions insurance policy, however, Branch Officers and Directors are protected by California Corporations Code Section 5239 entitled “personal liability of volunteer director or officer for negligence” if the following conditions for each individual Branch are met: The documented cost for obtaining Directors and Officers Liability Insurance exceeds 5% of the Branch’s prior year budget.
The SIR Inc. Insurance Committee has obtained a quote of $2500 for a branch O & E insurance premium, which amount exceeds 5% of the General Account Total shown on Branch 172’s Form 28 dated December 31, 2009, therefore, pursuant to the provision of California Corporations Code 5239, effective March 29, 2002, Branch 172 has on file a determination made by the SIR State Insurance Committee which reveals that the cost of obtaining Officers and Directors Liability insurance exceeds 5% of the prior year budget. This, therefore, constitutes a good faith effort to obtain such insurance and we therefore defer to the Sections 5239 which states “there shall be no personal liability to a third party for monetary damages on the part of a volunteer director or volunteer executive office of a nonprofit corporation subject to this part, caused by the director’s or officer’s negligent act or omission in the performance of that person’s duties as a director or officer.”
Therefore, it is moved, Honeychurch, seconded, Escallier, and passed that Branch 172 cannot afford to purchase this type of liability insurance and the Branch elects to be covered by the provisions of Section 5239.
State Nominating Committee:
Big Sir Earl Nelson read the email from the State SIR Nominating Committee and requested that if any Sir present knows of a Branch member that would consider being nominated for State Office, to contact him for further information.
All business having been concluded, the meeting was adjourned at 9:05 AM.
The next Executive Committee Meeting will be 8:00 AM, Monday, May 3, 2010, at The Pine Tree Restaurant, next to the Best Western, at 19601 Hess Avenue, with breakfast starting at 7:00 AM. The monthly luncheons are held on the first Thursday of each month at the Sonora Elks’ Lodge with the exception of August and December.
